# Relex Partner Program Terms

These Partner Program Terms (the "**Partner Terms**") govern your participation in the Relex Partner Program operated by Relex Legal AI Ltd ("**Relex**", "**we**", "**us**"). They are in addition to the Relex [Terms of Service](/terms-of-services) and [Privacy Policy](/privacy-policy). By registering as a partner and ticking the acceptance box, you confirm that you have read, understood, and agree to be bound by these Partner Terms.

If you do not agree, do not register as a partner.

> These Partner Terms allocate financial and legal responsibility for your services to you. We recommend you review them with your own legal and tax advisor before accepting.

## 1\. Your relationship with Relex

1.1 You are an **independent professional and an independent contractor**. Nothing in these Partner Terms creates an employment, agency, partnership, joint venture, or franchise relationship between you and Relex. You are not authorised to bind Relex or act on its behalf.

1.2 Relex operates a **technology platform and marketplace** that helps clients discover and engage independent legal professionals. **Relex is not a law firm, does not provide legal advice, and is not a party to any engagement, retainer, or contract between you and a client.** The professional relationship, and all obligations arising from it, are solely between you and your client.

1.3 You are solely responsible for your own professional conduct, the **services you provide, the advice you give, your deliverables, their quality, timeliness, and accuracy**, and for your compliance with all laws, regulations, licensing requirements, and professional and ethical rules applicable to you and your services.

## 2\. Payments and fees

2.1 **You are paid directly.** Client payments for your services are processed through your own Stripe Connect connected account. **Relex does not take a commission or application fee on your service fees** — the full amount a client pays for your services is yours, net of Stripe's processing fees and any taxes.

2.2 **You are the merchant of record** for your services. You set your own prices and are responsible for the accuracy of the amounts you charge.

2.3 The **Partner Listing subscription** (the fee you pay Relex for listing and visibility on the platform) is separate from your service earnings and is charged to you by Relex. Non-payment of the Partner Listing subscription may result in your listing being suspended or removed.

2.4 You are responsible for determining, collecting, reporting, and remitting all **taxes** applicable to your services and earnings.

## 3\. Stripe Connect and your connected account

3.1 To receive payments you must create and maintain a Stripe Connect connected account, complete Stripe's identity and business verification (KYC), and keep your information accurate and up to date. Your use of the connected account is also governed by the **Stripe Connected Account Agreement** and the **Stripe Services Agreement**, which you agree to.

3.2 You must promptly provide any additional information Stripe or Relex requests to verify your identity, maintain your account in good standing, or remediate a requirement, restriction, or risk action. Failure to do so may pause your payouts or remove your listing.

3.3 You authorise Relex, as the Stripe platform, to access your connected-account status, requirements, capabilities, payouts, and dispute and risk information for the purposes of operating the program, communicating with you, and managing risk.

## 4\. Liability for losses and indemnification

**This section is important. Please read it carefully.**

4.1 **You are solely responsible for all losses arising from your connected account and your services**, including without limitation: refunds, chargebacks, payment disputes and their fees, reversals, fines, penalties, assessments, negative account balances, fraud, and any amounts Stripe or any card network recovers, holds in reserve, or charges back.

4.2 Because Relex is the platform for your connected account, Stripe may hold Relex liable for, or hold reserves against, negative balances and losses on your connected account. **To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Relex and its officers, employees, and affiliates from and against any and all such losses, liabilities, claims, damages, costs, and expenses (including reasonable legal fees)** arising out of or related to (a) your services, advice, or deliverables; (b) your connected account; (c) any chargeback, dispute, refund, reversal, fine, penalty, or negative balance; (d) your breach of these Partner Terms, the Stripe agreements, or applicable law; or (e) any claim by a client or third party relating to your services.

4.3 **Recoupment and set-off.** Where Relex incurs, is charged, reserves against, or reasonably anticipates a loss for which you are responsible under section 4, you authorise Relex to **withhold, set off, offset, deduct, or recoup** the corresponding amounts from any sums otherwise payable to you (including future earnings and Partner Listing credits), and, where those are insufficient, **you agree to reimburse Relex on demand**.

4.4 **Reserves and holds.** Relex and Stripe may place reserves or holds on, delay, or suspend payouts on your connected account where reasonably necessary to cover anticipated or actual losses, disputes, or risk.

## 5\. Compliance, risk, and prohibited activity

5.1 You represent and warrant that you are not operating a restricted or prohibited business, are not selling restricted or prohibited products or services, and will comply with all applicable laws, including anti-money-laundering, sanctions, consumer-protection, and data-protection laws.

5.2 You are responsible for monitoring and managing the risk of your own services and clients, for responding to and submitting evidence for disputes within the applicable deadlines, and for cooperating with Relex and Stripe on any risk or fraud matter.

5.3 **Risk actions.** Relex may, at its reasonable discretion and to mitigate losses, protect clients, or maintain compliance, take actions including: requesting additional information, pausing payouts, holding reserves, limiting features, suspending, delisting, or terminating your participation. Where we take such an action, we will endeavour to notify you and tell you what is required to return to a healthy account status.

## 6\. Suspension, termination, and survival

6.1 Either party may terminate your participation in the Partner Program at any time. Relex may suspend or terminate immediately for breach, risk, legal, or compliance reasons.

6.2 Termination does not relieve you of obligations accrued before termination. **Sections 1.2, 1.3, 2.4, 4, 5, 7, and 8 survive termination.**

## 7\. Disclaimers and limitation of liability

7.1 The platform is provided "as is" and "as available". Relex does not warrant that the platform will be uninterrupted or error-free, and does not guarantee any volume of clients, engagements, or earnings.

7.2 **To the fullest extent permitted by law, Relex is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or earnings.** Relex's total aggregate liability to you arising out of or relating to the Partner Program is limited to the total Partner Listing subscription fees you paid to Relex in the three (3) months before the event giving rise to the claim.

7.3 Nothing in these Partner Terms excludes or limits liability that cannot be excluded or limited under applicable law.

## 8\. General

8.1 **Governing law.** These Partner Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer or professional protections available to you under local law.

8.2 **Changes.** Relex may update these Partner Terms. Material changes will be notified to you, and continued participation after the effective date, or acceptance of the new version, constitutes acceptance. Each registration records the version of these Partner Terms you accepted.

8.3 If any provision is held unenforceable, the remaining provisions remain in effect.
